Grid Tools for Smartsheet Terms of Use

The terms that govern your access to and use of Grid Tools for Smartsheet.

These Terms of Use ("Terms") govern Your access to and use of Grid Tools for Smartsheet, including the browser extension, related website, account and billing services, support, and any other Grid Tools services that link to these Terms (collectively, the "Service").

Please read these Terms carefully. By accessing or using the Service, creating an Account, installing the Browser Extension, starting a Free plan, starting a Trial, purchasing a paid Subscription, or accepting an invitation to a managed seat, You agree to these Terms. If You do not agree, do not access or use the Service.

Grid Tools is operated by GT4SS, LLC, a limited liability company, organized under the laws of South Carolina ("Grid Tools," "Company," "We," "Us," or "Our").

1. Definitions

For purposes of these Terms:

"Account" means a unique Grid Tools account identified by an email address.

"Affiliate" means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

"Browser Extension" means the Grid Tools for Smartsheet browser extension software distributed through browser extension stores, including Chrome Web Store, Firefox Add-ons, and other supported stores where Grid Tools publishes a compatible build.

"Company" means GT4SS, LLC, a limited liability company, organized under the laws of South Carolina.

"Content" means text, data, information, images, files, or other materials submitted to or processed through the Service.

"Free plan" means the no-charge Service plan made available to signed-in users, subject to feature limits, usage limits, and other restrictions described in these Terms or in the Service.

"Grid Tools Content" means the Service, Software, website content, documentation, designs, logos, trademarks, and other materials provided by Grid Tools.

"Licensed User" means an individual authorized to use the Service under an Account, Free plan, Subscription, Trial, Partner Evaluation License, or managed seat.

"Partner Evaluation License" means a temporary evaluation license made available to approved affiliate or partner program participants under separate program terms.

"Personal Data" means information that relates to an identified or identifiable individual.

"Service" means, collectively, the Browser Extension, website, account and billing services, support, and related software, features, and services offered by Grid Tools.

"Smartsheet" means the Smartsheet platform operated by Smartsheet Inc.

"Software" means the Browser Extension and any associated code, libraries, APIs, and updates provided by Grid Tools.

"Subscription" means paid access to the Service on a recurring basis.

"Team Account" means a paid account with seat-management, invite-management, billing-owner, or similar administrative capabilities for multiple Licensed Users.

"Third-Party Service" means any service, content, software, platform, processor, or integration provided by a third party and used with, relied on by, or linked from the Service.

"Trial" means a temporary no-charge or reduced-charge evaluation period for the Service.

"Website" means the Grid Tools website at https://gridtools.app and related Grid Tools-controlled subdomains.

"You" means the individual accessing or using the Service, or the company or other legal entity on whose behalf that individual accesses or uses the Service.

2. Acceptance And Eligibility

2.1 Acceptance

By accessing or using the Service, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You use the Service on behalf of an organization, You represent that You have authority to bind that organization to these Terms.

2.2 Age Requirement

You must be at least 18 years old to use the Service. The Service is not intended for children.

2.3 Privacy Policy

Your use of the Service is also governed by the Grid Tools Privacy Policy at https://gridtools.app/privacy, which is incorporated into these Terms by reference.

3. Accounts And Sign-In

3.1 Account Requirement

All Service tiers, including the Free plan, require registration and sign-in. Grid Tools may block or limit access for users who are not signed in.

3.2 Account Information

You agree to provide accurate, current, and complete Account information and to keep that information updated.

3.3 Account Security

You are responsible for maintaining the security of Your Account, authentication method, sessions, devices, and email account. You must promptly notify Grid Tools at [email protected] if You believe Your Account has been compromised or used without authorization.

3.4 Prohibited Account Conduct

You may not:

  • Create an Account using false or misleading information.
  • Create multiple Accounts to evade usage limits, access controls, billing obligations, or other restrictions.
  • Use another person's Account without permission.
  • Share authentication tokens, invite links, managed-seat invites, or Account access in an unauthorized way.

4. Plans, Features, And Usage Limits

4.1 Free Plan

The Free plan may include limited access to basic Grid Tools actions, such as:

  • Resize columns.
  • Scroll to columns.
  • Select rows.

The Free plan is subject to usage limits, feature limits, and other restrictions shown in the Service or described on the Website. Grid Tools may modify the Free plan, allowed actions, usage limits, or reset cadence from time to time.

4.2 Paid Plans

Paid plans provide access to additional features, higher or unlimited usage limits, team-management features, or other paid capabilities described on the Website or in the Service.

4.3 Team And Enterprise Packaging

Team or Enterprise packaging is treated as paid access plus additional administrative capabilities, such as seat management, invite management, or billing ownership. Unless a separate written agreement says otherwise, managed seats receive paid feature access through the purchaser's Team Account.

4.4 Feature Availability

Features may vary by plan, browser, Smartsheet view, Smartsheet account permissions, browser-extension store requirements, and technical compatibility. Grid Tools may add, change, suspend, or remove features, subject to applicable law and any paid plan commitments.

5. License Grant And Restrictions

5.1 License Grant

Subject to Your compliance with these Terms and any applicable payment obligations, Grid Tools grants You a limited, non-exclusive, non-transferable except as expressly allowed by these Terms, revocable license to:

  • Download, install, and use the Browser Extension.
  • Use the Service features available under Your plan.
  • Access account, billing, support, and team-management features made available to Your Account.

5.2 License Tied To Account Or Seat

Access is tied to the Account, email address, Subscription, Trial, Partner Evaluation License, or managed seat associated with the Licensed User. A Licensed User may install and use the Browser Extension on multiple devices for that Licensed User's own use.

5.3 Restrictions

You may not:

  • Sublicense, sell, rent, lease, resell, or commercially distribute the Service or Software except under a separate written agreement with Grid Tools.
  • Modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except to the extent such restriction is prohibited by law.
  • Remove, alter, or obscure proprietary notices.
  • Use the Service to build or assist a competing product or service.
  • Circumvent usage limits, license checks, account restrictions, feature gates, security controls, or payment controls.
  • Use automated means to access or use the Service beyond its intended functionality.
  • Interfere with the operation, security, performance, or availability of the Service.

6. Subscriptions, Billing, And Payments

6.1 Billing Provider

Grid Tools uses Stripe for payment processing, checkout, subscription management, billing portals, and related payment workflows. Grid Tools does not store full credit card numbers.

6.2 Subscription Billing

Subscriptions may be billed monthly, annually, or on another cadence shown at checkout. Unless stated otherwise, Subscriptions renew automatically until canceled.

6.3 Authorization To Charge

By starting a paid Subscription or Trial that requires payment information, You authorize Grid Tools and Stripe to charge the applicable fees, taxes, and renewals to Your selected payment method.

6.4 Cancellation

You may cancel Your Subscription through the billing/account-management workflow made available by Grid Tools or by contacting [email protected]. After cancellation, You generally retain paid access until the end of the current paid billing period unless these Terms or a separate agreement provide otherwise.

6.5 Refunds

Paid fees are generally non-refundable except where required by law or where Grid Tools approves a refund in its discretion. If a refund, chargeback, credit, or payment dispute occurs, Grid Tools may adjust Account access, entitlements, affiliate commissions, or related records accordingly.

6.6 Failed Payments

If a payment fails, Grid Tools or Stripe may retry the payment, request updated billing information, suspend access, downgrade access, or terminate paid features.

6.7 Fee Changes

Grid Tools may change fees or plan structures. Unless required sooner by law or a separate agreement, fee changes for existing paid Subscriptions will take effect at the next renewal or billing period after notice.

7. Trials And Partner Evaluation Licenses

7.1 Trials

Grid Tools may offer Trials at its discretion. Trial terms may vary by offer and may require payment information.

7.2 Trial Conversion

Some Trials may automatically convert to paid Subscriptions unless canceled before the Trial ends. Other Trials may require an explicit upgrade. The checkout, offer page, or written program terms control the specific Trial conversion terms.

Any Trial that automatically converts to a paid Subscription will disclose that conversion, billing cadence, cancellation deadline, and applicable price before You start the Trial or are charged.

7.3 Partner Evaluation Licenses

Approved affiliate or partner participants may receive a Partner Evaluation License under separate affiliate or partner terms. Unless those separate terms say otherwise, Partner Evaluation Licenses are temporary, non-transferable, limited to the approved partner's internal evaluation or promotion activities, and may not be shared with clients or third parties.

8. Browser Extension Terms

8.1 Extension Functionality

The Browser Extension enhances the Smartsheet interface with Grid Tools features. It operates in the user's browser and interacts with supported Smartsheet pages and Smartsheet-integrated surfaces where the extension has required permissions.

8.2 Permissions

The Browser Extension may request browser permissions such as:

  • Access to supported Smartsheet pages and Smartsheet-integrated domains.
  • Storage permissions for preferences, settings, license state, and local extension state.
  • Browser tab or scripting permissions needed to run packaged extension code on supported pages.
  • Network access to communicate with Grid Tools servers for authentication, licensing, billing, feature gating, usage validation, and supportable operations.

You grant these permissions when installing or enabling the Browser Extension. You may revoke access by disabling or uninstalling the Browser Extension.

8.3 Data Access

The Browser Extension may access Smartsheet page content visible in Your browser when needed to provide local extension functionality. Grid Tools does not claim ownership of Your Smartsheet content.

The Extension is not intended to access arbitrary websites. It is intended to operate on supported Smartsheet pages, Smartsheet WorkApps, supported Smartsheet-integrated surfaces, and Grid Tools-controlled services needed for the Service.

8.4 Smartsheet Relationship

Grid Tools is not affiliated with, endorsed by, sponsored by, or officially connected to Smartsheet Inc. Smartsheet is a trademark of Smartsheet Inc. Your use of Smartsheet is governed by Smartsheet's own terms and policies.

Grid Tools is not responsible for Smartsheet changes, outages, permission changes, UI changes, API changes, or account restrictions that affect the Browser Extension.

8.5 Updates

The Browser Extension may update automatically through browser-extension store mechanisms or browser update processes. Updates may include bug fixes, feature changes, security patches, compatibility changes, or plan-gating changes.

9. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any law, regulation, third-party right, or Smartsheet policy.
  • Interfere with the Service, other users, Smartsheet, browser-extension stores, payment providers, or third-party systems.
  • Probe, scan, test, attack, overload, disrupt, or bypass Service systems without written authorization.
  • Use the Service to transmit malicious code, spam, fraudulent content, or unlawful material.
  • Misrepresent Your identity, affiliation, permissions, plan, or payment status.
  • Abuse Free plan limits, Trial offers, Partner Evaluation Licenses, managed seats, invite links, coupons, affiliate attribution, or billing flows.
  • Use the Service for benchmarking, competitive analysis, or product replication without written permission.

Grid Tools may investigate suspected violations and may suspend or terminate access where appropriate.

10. Intellectual Property

10.1 Grid Tools Ownership

Grid Tools and its licensors own the Service, Software, Grid Tools Content, documentation, designs, trademarks, logos, and related intellectual property. Except for the limited license granted in these Terms, no rights are transferred to You.

10.2 Feedback

If You provide suggestions, ideas, requests, bug reports, or other feedback, You grant Grid Tools a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback without restriction or compensation.

10.3 Trademarks

You may not use Grid Tools names, logos, or marks without prior written permission except to accurately identify the Service in a non-misleading way.

11. User Content And Smartsheet Content

11.1 Your Content

You retain ownership of Your Content and Smartsheet content. You are responsible for ensuring that You have the rights and permissions needed to use the Service with that content.

11.2 Limited Processing

Grid Tools may process Account information, billing information, usage records, support communications, and other data as described in the Privacy Policy. The Browser Extension may locally read or manipulate Smartsheet page content in Your browser to perform requested actions.

11.3 Content Responsibility

You are responsible for Your Content, Your Smartsheet account permissions, and Your use of Grid Tools actions. Grid Tools is not responsible for the accuracy, legality, integrity, or availability of Smartsheet content or third-party content.

11.4 Responsibility For Smartsheet Actions

You are responsible for reviewing, confirming, and validating any Smartsheet changes, selections, exports, imports, copied data, formatting changes, automation outputs, or other actions performed through the Service before relying on them. Grid Tools is not responsible for unintended changes caused by user error, incorrect configuration, Smartsheet permissions, Smartsheet UI changes, misuse, or failure to review results.

12. Third-Party Services

The Service relies on or integrates with Third-Party Services, including:

12.1 Stripe

Stripe provides payment processing, checkout, subscription management, billing portal, and related payment workflows. Stripe's processing is governed by Stripe's own terms and privacy policy.

12.2 Cloudflare

Cloudflare provides hosting, content delivery, DNS, DDoS protection, serverless compute, database, and related infrastructure services.

12.3 Email Providers

Zoho Mail is used for business email mailboxes and support communications. Resend is used to deliver transactional emails (authentication, account, billing, and support notifications).

12.4 Smartsheet

The Browser Extension interacts with Smartsheet pages to provide Grid Tools functionality. Smartsheet is a Third-Party Service, and Your use of Smartsheet is governed by Smartsheet's own terms and policies.

12.5 Third-Party Changes

Grid Tools is not responsible for third-party changes, outages, limitations, terms, policies, or decisions that affect the Service.

13. Privacy And Data Protection

13.1 Privacy Policy

Grid Tools' collection, use, disclosure, and retention of Personal Data is described in the Privacy Policy at https://gridtools.app/privacy.

13.2 Data Security

Grid Tools uses reasonable administrative, technical, and organizational safeguards intended to protect Personal Data. No method of transmission or storage is completely secure.

13.3 Data Processing Addendum

Where required by applicable law or a separate written agreement, a Data Processing Addendum may apply to Grid Tools' processing of Personal Data on behalf of a customer. If applicable, the Data Processing Addendum will be made available through the Website, the Service, or a separate written agreement.

13.4 International Transfers

The Service is operated from the United States and uses service providers that may process data in the United States or other locations, as described in the Privacy Policy.

14. Support

Grid Tools may provide support through email, documentation, account tools, or other channels made available by Grid Tools. Support does not include Smartsheet account administration, implementation services, custom development, legal advice, security consulting, or customer-specific professional services unless separately agreed in writing.

15. Beta, Preview, And Experimental Features

Grid Tools may offer beta, preview, experimental, or early-access features. Such features may be incomplete, changed, limited, suspended, or discontinued at any time and may not be covered by the same support, availability, or compatibility expectations as generally available features.

16. Service Availability And Maintenance

The Service may be unavailable from time to time due to maintenance, updates, security work, outages, third-party service disruptions, browser-extension store review delays, Smartsheet changes, infrastructure issues, or circumstances beyond Grid Tools' reasonable control. Grid Tools is not responsible for loss, delay, or interruption caused by Smartsheet, browser providers, extension stores, payment processors, hosting providers, internet service providers, or other Third-Party Services.

17. Affiliate And Partner Programs

Affiliate, referral, consultant, reseller, evaluation, or partner programs are governed by separate written program terms where applicable. Participation in any such program does not create an employment, agency, franchise, reseller, joint venture, certification, exclusive partnership, or authority-to-bind relationship unless Grid Tools expressly agrees in writing.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

GRID TOOLS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

GRID TOOLS DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY SMARTSHEET CHANGE, BROWSER, DEVICE, ACCOUNT, OR WORKFLOW.
  • DEFECTS WILL BE CORRECTED.
  • RESULTS FROM USING THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.
  • SMARTSHEET OR ANY THIRD-PARTY SERVICE WILL REMAIN AVAILABLE OR COMPATIBLE.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to You.

19. Limitation Of Liability

19.1 Exclusion Of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID TOOLS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, EVEN IF GRID TOOLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID TOOLS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO GRID TOOLS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • $100.

19.3 Jurisdictional Limits

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability will be limited to the greatest extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Grid Tools and its officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Service.
  • Your Content or Smartsheet content.
  • Your violation of these Terms.
  • Your violation of law or third-party rights.
  • Your misuse of Accounts, Trials, managed seats, affiliate links, coupons, or invite links.
  • Your negligent, fraudulent, unlawful, or wrongful conduct.

21. Termination

21.1 Termination By You

You may stop using the Service at any time. You may cancel a paid Subscription through the billing/account-management workflow made available by Grid Tools or by contacting [email protected].

21.2 Termination By Grid Tools

Grid Tools may suspend, limit, or terminate Your Account, Subscription, Trial, managed seat, Partner Evaluation License, or access to the Service if:

  • You violate these Terms.
  • Your payment fails.
  • Your use creates risk, harm, or legal exposure.
  • Your Account appears fraudulent, abusive, compromised, or unauthorized.
  • Grid Tools is required to do so by law, a third-party platform, or a service provider.
  • Grid Tools discontinues the Service or relevant feature.

21.3 Effect Of Termination

Upon termination, Your right to use the Service ends. Sections that by their nature should survive termination will survive, including provisions related to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and general provisions.

22. Dispute Resolution

22.1 Informal Resolution

Before initiating a formal claim, You agree to contact Grid Tools at [email protected] and attempt to resolve the dispute informally. The parties will attempt to resolve disputes through good-faith negotiation for 30 days.

22.2 Venue

Unless prohibited by applicable law, disputes that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Lancaster County, South Carolina, and the parties consent to personal jurisdiction and venue in those courts.

22.3 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND GRID TOOLS WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.

23. Governing Law

These Terms are governed by the laws of South Carolina, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

24. Data Retention And Deletion

Grid Tools retains and deletes Personal Data as described in the Privacy Policy. Some records may be retained as necessary for billing, security, fraud prevention, legal compliance, dispute resolution, backups, audit logs, or service operations.

If You request Account deletion, Grid Tools will process the request as described in the Privacy Policy and applicable law. Stripe and other Third-Party Services may retain records under their own legal, regulatory, operational, or fraud-prevention obligations.

25. General Provisions

25.1 Entire Agreement

These Terms, the Privacy Policy, and any separate written agreements expressly incorporated by reference are the entire agreement between You and Grid Tools regarding the Service.

25.2 Assignment

You may not assign or transfer these Terms or Your Account without Grid Tools' prior written consent, except where Grid Tools makes a transfer workflow available. Grid Tools may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

25.3 Severability

If any provision is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

25.4 Waiver

No waiver is effective unless in writing. Failure to enforce a provision is not a waiver.

25.5 Force Majeure

Grid Tools is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, power failures, epidemics, pandemics, third-party service outages, or platform changes.

25.6 Relationship Of The Parties

You and Grid Tools are independent contractors. These Terms do not create an employment, agency, partnership, franchise, reseller, certification, exclusive partnership, or joint venture relationship.

25.7 Third-Party Beneficiaries

These Terms do not confer rights on third parties except that Grid Tools' affiliates, suppliers, processors, and licensors may be third-party beneficiaries of protections intended for them.

25.8 Headings

Headings are for convenience only and do not affect interpretation.

Notices to You may be sent to the email address associated with Your Account or provided through the Service. You are responsible for keeping Your Account email current.

27. International Users

The Service is operated from the United States. If You access the Service from outside the United States, You are responsible for complying with local laws. Nothing in these Terms limits non-waivable consumer rights or data protection rights that apply to You.

28. United States Government Users

If You are a U.S. federal government end user, the Service is provided as a commercial product and commercial computer software. Government users receive only the rights granted to all other users under these Terms, unless a separate written agreement states otherwise.

29. Export Controls And Sanctions

You represent that:

  • You are not located in, organized under the laws of, or ordinarily resident in a country or region subject to applicable U.S. sanctions or embargoes.
  • You are not listed on a U.S. government restricted-party list.
  • You will not use, export, re-export, or transfer the Service in violation of applicable export control or sanctions laws.

30. Changes To These Terms

Grid Tools may update these Terms from time to time. When Grid Tools makes changes, it will update the "Last Updated" date. For material changes, Grid Tools will provide notice through email, the Service, the Website, or another reasonable method. Continued use of the Service after changes become effective means You accept the updated Terms.
